General Terms & Conditions of Sale

1. Scope
These General Terms & Conditions of Sale apply to all quotations, orders and sales of products and components by LeanEcoCell Oy ("LEC") to business customers, unless agreed otherwise in writing. They prevail over the customer's own terms.
2. Offers & contract formation
Our offers are non-binding until confirmed. A contract is formed when LEC issues a written order confirmation or delivers the products. Technical data and specifications are approximate unless expressly confirmed.
3. Prices & payment
Prices are net, exclusive of VAT, packaging and shipping unless stated otherwise. Unless agreed otherwise, payment is due within 30 days of the invoice date. Late payment accrues statutory interest under the Finnish Interest Act.
4. Delivery, shipping & passing of risk
Delivery terms follow the Incoterms (2020) stated in the order confirmation. Delivery dates are estimates; we are not liable for delays caused by circumstances beyond our reasonable control. Risk passes to the customer in accordance with the agreed Incoterm.
5. Retention of title
Products remain the property of LEC until paid in full.
6. Warranty
LEC warrants that products conform to the agreed specification for 12 months from delivery (unless a different period is agreed in writing). The customer must inspect goods on receipt and report visible defects within 14 days. Our remedy is, at our choice, repair, replacement or credit. Wear parts, misuse, unauthorised modification and improper fuel or handling are excluded.
7. Liability
To the extent permitted by law, LEC is not liable for indirect or consequential loss (including lost profit or downtime). Our total liability for a delivery is limited to its invoice value. Liability for gross negligence, wilful misconduct, personal injury and mandatory product-liability law is unaffected.
8. Export control & end use
Products and technology may be subject to EU dual-use regulation (Regulation (EU) 2021/821) and sanctions law. The customer agrees not to export, re-export or use them in breach of such law, and to provide end-use information where required.
9. Force majeure
Neither party is liable for failure caused by events beyond its reasonable control.
10. Governing law & jurisdiction
Finnish law applies, excluding its conflict-of-law rules and the UN CISG. The courts of Finland have jurisdiction, unless mandatory law provides otherwise.
